Legal due diligence — a comprehensive legal evaluation of the company and its activities.
During the conduct of legal due diligence, the company’s activity is examined for the purpose of compliance with the requirements of the legislation and the estimation of risk of possible claims is made from the side of contractors and state authorities.
Basic procedure of legal due diligence:
- analysis of constituent documents, the verification of property rights of the founders;
- analysis of the company's rights on personal and immovable property, financial investments in the capitals of other companies;
- legitimacy of the decisions taken by the management of the company;
- assessment of the legality of the realization of capital issues;
- checking of disputes with third parties, the availability of judicial proceedings, arrest of property;
- identification of business risks, claims of contractors and control authorities;
- verification the availability of necessary licenses for realization of activity;
- analysis of observance labor legislation;
- research of particular areas of the company’s activity, such as checking nature management, foreign economic activity, some one-time transactions of the company, etc.
